1️⃣Software Development Services

Adsali Technologies Pvt. Ltd.

1. Introduction

These Terms and Conditions govern the software development services provided by Adsali Technologies Pvt. Ltd. (“Company”, “We”, “Us”) to the client (“Client”, “You”). By engaging our services, the Client agrees to these terms.

2. Scope of Work

• The scope of work shall be defined in a mutually agreed Proposal / Quotation / Work Order.

• Any work outside the approved scope shall be treated as Change Request and billed separately.

• Timelines depend on timely inputs, approvals, and information from the Client.

3. Project Execution

• Development will follow agreed milestones.

• Delays caused due to incomplete inputs, third-party dependencies, or force majeure will extend timelines.

• Client feedback must be provided within reasonable time to avoid delays.

4. Payment Terms

• Payments shall be made as per agreed milestones or schedule.

• Delay in payment beyond the due date may result in project suspension.

• All payments are non-refundable once work has commenced.

• Applicable taxes (GST or others) are extra.

5. Intellectual Property Rights

• Ownership of the final source code shall be transferred to the Client only after full payment.

• Adsali Technologies Pvt. Ltd. retains rights to:

  • Reusable libraries

  • Frameworks

  • Tools

  • General know-how developed during the project

6. Client Responsibilities

The Client agrees to:

• Provide accurate requirements and approvals

• Ensure legal right to all content provided

• Assign a single point of contact for communication

7. Confidentiality

Both parties agree to keep all confidential information strictly private and not disclose it to third parties without written consent.

8. Warranty & Support

• A limited bug-fix warranty period (if agreed) applies only to delivered scope.

• Warranty does not cover:

  • Third-party changes

  • Hosting/server issues

  • Client-side modifications

9. Limitation of Liability

Adsali Technologies Pvt. Ltd. shall not be liable for:

• Loss of business, data, or profits

• Indirect or consequential damages
  Maximum liability shall not exceed the project value paid.

10. Termination

Either party may terminate with written notice if obligations are breached.
Payments for completed work remain payable.

11. Governing Law

These terms shall be governed by the laws of India.
Jurisdiction: Indore, Madhya Pradesh.

2️⃣ Software Maintenance Services

Adsali Technologies Pvt. Ltd.

1. Service Definition

Maintenance services include:

• Bug fixes

• Minor enhancements

• Performance monitoring

• Technical support (as per plan)

2. Maintenance Period

• Maintenance is valid only for the agreed duration.

• Renewal must be done before expiry.

3. Support Scope

Included:

• Application-related issues

• Bug fixes in existing code

Excluded:

• New features

• Major design changes

• Third-party tool failures

• Server / hosting issues (unless agreed)

4. Response Time

Response time depends on:

• Severity of issue

• Selected support plan

• Business hours (unless 24×7 support is contracted)

5. Payment Terms

• Maintenance fees must be paid in advance.

• Non-payment may result in service suspension.

• Fees are non-refundable.

6. Client Responsibilities

Client must:

• Provide system access

• Maintain data backups

• Not modify source code without consent

7. Liability Limitation

Company is not responsible for:

• Data loss due to external reasons

• Cyber attacks or force majeure events

• Unauthorized modifications by Client or third party

8. Termination

Maintenance may be terminated:

• On expiry

• On non-payment

• On misuse or violation of terms

9. Governing Law

Indian Law applies.
Jurisdiction: Indore, Madhya Pradesh.

3️⃣ Customized Product & Fixed-Price Product

Adsali Technologies Pvt. Ltd.

1. Product Types

• Fixed-Price Product: Delivered as-is with predefined features

• Customized Product: Modified as per client requirements

2. Licensing & Usage

• Products are licensed for use, not sold, unless specified.

• Redistribution, resale, or duplication is prohibited without written permission.

3. Customization Scope

• Customization is limited to agreed specifications.

• Additional changes are chargeable.

• Delivery timelines depend on customization complexity.

4. Payment Terms

• Full or partial advance payment is mandatory.

• Fixed-price products are non-refundable.

• Customization charges are billed separately.

5. Intellectual Property

• Core product IP remains with Adsali Technologies Pvt. Ltd.

• Client owns only the customized components (if agreed).

6. Warranty

• Warranty covers only functional defects in delivered scope.

• No warranty for:

  • User misuse

  • External integrations

  • Infrastructure issues

7. Maintenance & Support

• Support is available only if covered under a separate AMC / support plan.

8. Limitation of Liability

Company shall not be liable for:

• Business losses

• Indirect damages

• Third-party failures

Liability limited to the amount paid for the product.

9. Termination

Violation of license terms may result in immediate termination of usage rights.

10. Governing Law

Governed by Indian Law
